By agreeing to these Terms, I confirm my agreement to participate in all past, present and future podcasts & interviews (Podcast) produced by the Podcaster in which I appear as a guest speaker and I hereby grant BigMoves Pty Ltd ACN 678 949 258 (Podcaster), and their affiliates, the right to produce, reproduce, publish, sell, licence and distribute any photographs, transcriptions, audio, voice, performance, intellectual property and/or video recordings in which I may be included in (Content).
I further consent to my name, likeness and the Content being used:
in the Podcast in which I appear as a guest and in connection with the Podcast generally; and
in any material used to promote the Podcast, including but not limited to the Content, or any educational material or content placed on any media, website, social media platform or email marketing.
I understand that the use of my name, likeness, and the Content will be primarily for the purposes of commercial use, education and/or promotion by the Podcaster (Purpose).
I grant the Podcaster an exclusive royalty-free, perpetual, irrevocable, worldwide licence to use and exploit the Content and any associated moral rights, for the Purpose, across any media and platform (Licence).
I irrevocably consent to the Podcaster deleting or editing out any of the Content and I agree that the Podcaster has full creative rights to create the Podcast using any of the Content and to release the Podcast utilising the Content on any date chosen by the Podcaster without me first reviewing or approving the Content or any episode of that the Content may appear in. The Podcaster agrees not to delete or edit the Content in any way which would present me in a defamatory or unflattering manner.
I release and discharge the Podcaster from all claims, losses and liability relating to any use of my name, likeness or the Content. I have received valuable consideration in exchange for this release and Licence provided in these Terms and will not be entitled to any additional compensation for the Licence or any rights granted under these Terms.
I warrant and represent to the Podcaster, and it is a condition of these Terms, that each of the following statements is true and accurate as at the date of these Terms:
I have the full power to enter into and perform any obligations under these Terms;
I have read and understood these Terms and have had the opportunity to obtain independent legal advice about its effect;
I am the legal owner of the Content and I have the right to release and licence the Content to the Podcaster; and
the Content does not infringe the intellectual property rights or contractual rights of any third party.
I must promptly advise the Podcaster in writing of any actions, suits, claims, demands, proceedings, losses, damages, compensation sums of money, costs, charges, and expenses which may be brought or claimed against me or the Podcaster or in respect of which the me or the Podcaster may become liable arising out of the utilisation of the licensed Content by the Podcaster, its servants or agents.
I agree to hold harmless and indemnify the Podcaster from any loss, cost, liability, payment or expense (including legal costs on a full indemnity basis) associated with any claim or action that the use of the Content in accordance with these Terms infringes any third-party rights.
I acknowledge that I will be engaged as an independent contractor and that no partnership, agency, employment, joint venture, or fiduciary relationship exists between me and Podcaster by virtue of my appearance as a guest on the Podcast.
I confirm that I am at least 18 years of age and have the right to enter into these Terms.
I agree to keep confidential any information or technical data disclosed by the Podcaster to me for the purposes of creating the Podcast.
I acknowledge that these Terms:
may only be amended by written agreement of me and the Podcaster;
are governed by and construed in accordance with the laws of Queensland;
may be executed electronically in accordance with the Electronic Transactions (Queensland) Act 2001 (Qld) and the Electronic Transactions Act 1999 (Cth); and
are the entire agreement between me and the Podcaster.
I acknowledge that:
if a clause in these Terms is illegal, invalid, or unenforceable, that clause must be read down as narrowly as necessary to allow that provision to be enforceable and if it is not possible to read down a clause (in whole or part), that clause is severed from these Terms without affecting the validity or enforceability of these Terms as a whole; and
the rights and obligations of me and the Podcaster under these Terms do not merge on completion of any transaction contemplated by these Terms.
